1. Acceptance of Terms

Welcome to StarShipper. These Terms of Service ("Terms") govern your access to and use of our platform, services, API, and website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a binding legal agreement between you and StarShipper.

2. Definitions

• "Services" means the StarShipper platform, including document extraction, shipment tracking, customs data API, and related services
• "User", "you", or "your" refers to the individual or entity accessing or using the Services
• "Content" means any data, documents, information, or materials uploaded, submitted, or transmitted through the Services
• "Account" means your user account for accessing the Services

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access certain features, you must register for an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your Account

4. Use of Services

4.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes.

4.2 Acceptable Use

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any unlawful, fraudulent, or malicious purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems (bots, scrapers) without our written permission
• Upload malicious code, viruses, or harmful materials
• Resell, sublicense, or redistribute the Services without authorization
• Remove or alter any proprietary notices or labels
• Impersonate any person or entity or misrepresent your affiliation

4.3 API Usage

If you use our API, you must comply with our API documentation and any rate limits, usage quotas, or technical requirements we specify. We reserve the right to modify, suspend, or discontinue API access at any time.

5. Content and Data

5.1 Your Content

You retain all rights to Content you submit to the Services. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your Content solely to provide and improve the Services.

5.2 Content Responsibility

You are solely responsible for your Content and must ensure you have all necessary rights and permissions to upload and process it through our Services. You represent that your Content does not violate any laws or third-party rights.

5.3 Our Content

The Services, including all software, databases, text, graphics, logos, and other materials ("Our Content"), are owned by StarShipper or our licensors and protected by intellectual property laws. You may not use Our Content except as expressly permitted by these Terms.

6. Fees and Payment

6.1 Fees

Certain Services require payment of fees. All fees are in Australian Dollars (AUD) unless otherwise stated. You agree to pay all applicable fees according to the pricing and payment terms in effect at the time.

6.2 Billing

Fees are billed in advance on a subscription basis or as otherwise specified. You authorize us to charge your payment method for all fees when due. If payment fails, we may suspend or terminate your access to the Services.

6.3 Refunds

Fees are non-refundable except as required by law or as otherwise specified in your service agreement.

6.4 Price Changes

We may change our fees at any time. We will provide reasonable notice of fee changes, and changes will apply to subsequent billing periods.

7. Term and Termination

7.1 Term

These Terms begin when you first access the Services and continue until terminated by either party.

7.2 Termination by You

You may terminate your Account at any time by contacting us or using the account closure feature in your settings.

7.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, including if you violate these Terms. We will provide reasonable notice where practical.

7.4 Effect of Termination

Upon termination, your right to use the Services immediately ceases. We may delete your Content and Account data, subject to our data retention policies and legal obligations.

8. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy, completeness, or reliability of any Content, data, or information provided through the Services.

Our document extraction and data processing services are provided for informational purposes. You are responsible for verifying all extracted information before making business decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARSHIPPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR AUD $100, WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under Australian law.

10. Indemnification

You agree to indemnify, defend, and hold harmless StarShipper and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or any activities under your Account

11. Third-Party Services

The Services may integrate with or link to third-party services, websites, or applications. We are not responsible for and do not endorse any third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

12. Google API Integration

StarShipper integrates with Google APIs to provide authentication and Google Sheets synchronization features. By using these features, you agree to the following:

12.1 Google Terms

Your use of Google services through StarShipper is subject to Google's Terms of Service and Privacy Policy. You must have a valid Google account to use Google-integrated features.

12.2 Scope of Access

When you authorize StarShipper to access your Google account, you grant us permission to:

• Access your basic profile information (name, email, profile picture) for authentication
• Read from and write to Google Sheets that you explicitly share with or designate for use with StarShipper

12.3 Limited Use

StarShipper's use of Google user data is limited to providing the features you have explicitly enabled. We comply with the Google API Services User Data Policy, including the Limited Use requirements.

12.4 Revocation

You may revoke StarShipper's access to your Google account at any time through your Google Account settings or within the StarShipper application. Revocation will disable Google-dependent features but will not affect other StarShipper functionality.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2 Dispute Resolution

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation.

14. General Provisions

14.1 Modifications

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use after changes take effect constitutes acceptance of the modified Terms.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and StarShipper regarding the Services.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.5 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms without restriction.

14.6 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
